When incorporating a company in Myanmar, selecting the appropriate business structure is a crucial first step. The Myanmar Companies Law 2017 governs company incorporation and offers several types of structures to suit different business needs. The most common form is the Private Company Limited by Shares, which is ideal for small to medium-sized enterprises, requiring at least one shareholder and one director, who can be a foreign national. For larger ventures or those seeking public investment, a Public Company Limited by Shares may be formed, though it is subject to stricter compliance and disclosure requirements.


Branch and Representative Offices are options for foreign companies looking to establish a local presence without full incorporation. A branch can conduct commercial activities, while a representative office is limited to market research and liaison functions. Additionally, Joint Ventures, often between foreign investors and local partners, are popular for navigating local regulations and accessing restricted sectors.


Foreign ownership is permitted in many sectors, but some industries require joint ventures with Myanmar nationals or are restricted entirely. Company Incorporation in Myanmar is overseen by the Directorate of Investment and Company Administration (DICA), which also manages the online Myanmar Companies Online (MyCO) registration system. Choosing the right structure ensures legal compliance and aligns with operational and strategic goals.
